Terms of Use

1. Acceptance of Terms

By accessing or using Task Divider (the "Service"), you agree to be bound by these Terms of Use ("Terms") as a legally binding agreement between you ("User," "you," or "your") and Puterize ("Company," "we," "us," or "our"). If you do not agree to these Terms, you must not access or use the Service.

2. Description of Service

Task Divider is a task management and collaboration platform that allows users to create projects, add tasks, and enable team members to claim and complete tasks. The Service is provided through our web-based application and may include related features, updates, and support as determined by Puterize from time to time.

3. Service Tiers

The Service is offered in the following tiers:

• Free Tier Users: Users who access the Service without paying any subscription or usage fees. Free Tier Users have access to a limited set of features as determined by Puterize. Puterize reserves the right to modify, limit, or discontinue Free Tier features at any time without prior notice.
• Paid Tier Users: Users who have subscribed to a paid plan and remit applicable fees. Paid Tier Users receive access to additional features, higher usage limits, and priority support as specified in their selected plan. The scope of Paid Tier entitlements is defined at the time of purchase and may be updated upon renewal.

4. "As Is" Disclaimer

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PUTERIZE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. PUTERIZE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. BY USING THE SERVICE, YOU ACKNOWLEDGE AND AGREE THAT YOUR USE IS AT YOUR SOLE RISK AND THAT PUTERIZE MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND WITH RESPECT TO THE SERVICE. NO ORAL OR WRITTEN INFORMATION OR ADVICE PROVIDED BY PUTERIZE SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Free Tier Users: IN NO EVENT SHALL PUTERIZE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. THE TOTAL LIABILITY OF PUTERIZE TO FREE TIER USERS SHALL BE ZERO (EUR 0). FREE TIER USERS ACCEPT THE SERVICE ENTIRELY AT THEIR OWN RISK.
• Paid Tier Users: IN NO EVENT SHALL PUTERIZE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY THE PAID TIER USER TO PUTERIZE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED EUROS (EUR 100). THIS LIMITATION APPLIES REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, EVEN IF PUTERIZE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6. User Accounts

To access certain features of the Service, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to update such information as necessary. Puterize reserves the right to suspend or terminate accounts that violate these Terms.

7. User Content

You retain ownership of any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant Puterize a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such User Content solely for the purpose of providing and improving the Service. You are solely responsible for your User Content and represent that you have all necessary rights to grant this license.

8. Intellectual Property

The Service, including its design, code, features, functionality, and all related documentation, is and shall remain the exclusive property of Puterize. Nothing in these Terms grants you any right, title, or interest in the Service or Puterize's intellectual property except for the limited right to use the Service as expressly set forth herein. You may not copy, modify, distribute, sell, or lease any part of the Service without prior written consent from Puterize.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, available at Privacy Policy. By using the Service, you consent to the collection, use, and sharing of your information as described in the Privacy Policy.

10. Indemnification

You agree to indemnify, defend, and hold harmless Puterize, its directors, officers, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your access to or use of the Service, your User Content, or your violation of these Terms.

11. Termination

Puterize may terminate or suspend your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Force Majeure

Puterize shall not be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, war, terrorism, government actions, power outages, internet disruptions, or any other force majeure event.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be submitted to the competent courts of the Netherlands, unless otherwise required by mandatory consumer protection laws.

14. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of the remaining provisions. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15. Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Puterize regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, whether written or oral, relating to the subject matter hereof.

16. Changes to Terms

Puterize reserves the right to modify or update these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.
